  1. Speak to at least 3 franchisees who have run an outlet for 2+ years and see their actual monthly sales and profit — a franchisor making money doesn't mean its franchisees do.
  2. Ask for the one-time franchise fee in writing, and whether any part is refundable.
  3. Ask for the royalty and any marketing-fund fee, and how they're calculated (on sales or profit).

Auditor's qualified opinion and going-concern warning on FY26 standalone accounts

The auditor could not assess impairment of ₹776 Cr recoverable from four trusts, the non-provision for corporate guarantees, or ₹343 Cr due from a subsidiary, and flagged material uncertainty about going concern; the opinion on FY25 accounts was also qualified. Management says the dues will be met by monetising assets.

Key Terms at Kidzee

The clauses that shape day-to-day running and your exit — read these before the fee.

Renewal
A Kidzee franchise agreement dated 20 Jan 2014 ran for six years, expired on 20 Jan 2020 and was not renewed (Bombay High Court order, 25 Aug 2026). Renewal was not automatic.
Non-compete
After termination or expiry the franchisee may not claim any association with Zee Learn, advertise one, or invite admissions to the Kidzee programme (clause 14.4 as described in the same order); this is a ban on using the brand, not on running a preschool.
Other terms
Disputes arising out of or in connection with the agreement go to arbitration (clause 17.1 as described in the same order); the court held post-expiry trademark use falls within it.
Supply & stock
Zee Learn books ₹238 Cr of sales of educational goods and equipment (FY26 standalone), which suggests partners buy books and materials from it; whether this is mandatory is not published.

About the Brand

Brand USP

Zee Learn's preschool brand with 2,500+ centres claimed and a published ₹15-16 lakh investment; parent's auditor gave a qualified opinion with a going-concern uncertainty.

Parent CompanyZee Learn Limited (Essel group promoters)
HeadquartersMumbai
Kidzee is a preschool chain owned by Zee Learn Ltd (Mumbai; listed on NSE and BSE; Essel group promoters hold 15%). Zee Learn's FY26 annual report says the network grew to 2,500+ preschools in 620+ cities in India and neighbouring countries, and describes its model as franchise-led. Zee Learn also runs Mount Litera Zee Schools (K-12) and creative-arts institutes, so its accounts are not Kidzee's alone. Kidzee's franchise page states an investment of ₹15-16 lakh (marked with an asterisk) covering setup, training and initial marketing support, and 2,000-3,000 sq ft of space. The same page showed ₹12-15 lakh and 2,500 sq ft in Mar 2023. It does not publish a franchise fee, royalty, agreement term or any ROI or payback figure. Zee Learn's accounts show ₹31.0 Cr of franchisee fees and ₹41.1 Cr of course fees and royalty in FY26 (standalone, across its businesses), plus ₹238 Cr of sales of educational goods and equipment to its network. What to watch: the franchisor's finances carry serious flags. Its auditor gave a qualified opinion on the FY26 standalone accounts and flagged a material uncertainty about going concern, because of corporate guarantees of about ₹663 Cr now payable to an asset-reconstruction company, after Yes Bank and Axis Bank petitions for insolvency. The Yes Bank-led insolvency order of Feb 2023 was set aside within days and a subsidiary's insolvency was withdrawn in Dec 2025, but the guarantee dues remain, and Yes Bank's successor lender ACRE had only told the tribunal on 8 Jun 2026 that it would withdraw the Yes Bank-origin petition. FY26 profit (consolidated ₹38.5 Cr) includes an exceptional gain; before it, consolidated profit before tax was ₹40.3 Cr, down from ₹48.8 Cr. The Bombay High Court (Aug 2026) restrained an ex-franchisee in a trademark dispute that followed a non-renewal. Franchisor profit says nothing about one centre's income; ask current franchisees for centre-level numbers.

Why invest in Kidzee?

- Kidzee states ₹15-16 lakh and 2,000-3,000 sq ft for a preschool franchise (Oct 2026). - Zee Learn's FY26 annual report claims 2,500+ Kidzee preschools in 620+ cities and consolidated revenue of ₹439 Cr. - Zee Learn is listed, so its auditor's report, litigation and results are public.
